Acceptance of terms

By accessing or using AdChat ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all visitors, users, and other parties who access or use the Service.

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

Description of service

AdChat is a chat marketing platform that enables businesses and creators to build automation flows, manage subscribers, send broadcasts, and operate a live chat inbox across Telegram and Instagram. The Service is provided as a software-as-a-service (SaaS) offering, with the application hosted at app.adchat.uz.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible.

Account responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at info@adchat.uz if you suspect unauthorized access or a security breach.

You must provide accurate, current, and complete information during registration and keep it up to date. Accounts may not be shared or transferred to another party without prior written consent from AdChat.

Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. In particular, you must not:

• Send unsolicited bulk messages, spam, or any content that violates the anti-spam policies of Telegram, Meta, or applicable law.
• Use the Service to harm, threaten, harass, or abuse any person or to distribute malicious software.
• Violate Telegram's Terms of Service (telegram.org/tos) or Meta's Terms of Service (facebook.com/terms) when using the connected channel features.
• Attempt to reverse-engineer, decompile, or otherwise extract the source code of the Service.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.

Subscription & billing

AdChat offers a free tier and paid subscription plans (Pro and Business). Free tier access is provided without charge subject to usage limits described on the pricing page. Paid plans are prepaid in so'm for a monthly or annual term through Click or Payme. On paid plans, an additional charge for subscribers beyond the plan limit may also apply; it is disabled by default and its rate is shown in workspace settings before you enable it.

New accounts include a 14-day Pro trial. No payment card is required, and nothing is charged automatically — during the trial or after it. Every paid term is bought explicitly. When a paid term or the trial ends without a new payment, the account returns to the free tier and your flows, subscribers and message history are kept.

We reserve the right to change plan pricing with at least 30 days' advance notice to active subscribers. Refunds are governed by our Refund Policy; for refund requests, contact info@adchat.uz.

Intellectual property

The Service and its original content, features, and functionality are owned by AdChat and are protected by applicable intellectual property laws. You retain ownership of all content you upload or create through the Service, and you grant AdChat a limited license to host and process that content solely to provide the Service.

You may not use AdChat's name, logo, or branding without prior written permission.

Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of the Service is at your sole risk.

Limitation of liability

To the maximum extent permitted by applicable law, AdChat and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total cumulative liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless AdChat and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

Governing law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Uzbekistan.

Termination

We may suspend or terminate your account and access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the business interests of AdChat.

You may terminate your account at any time from the account settings page. Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination will survive, including intellectual property, disclaimer of warranties, limitation of liability, and governing law.

Changes to terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice before material changes take effect by posting the updated Terms at this URL and, where appropriate, notifying you by email.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms.
